1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and MindFlux Life Inc. ("MindFlux," "we," "us," or "our"), a corporation incorporated under the laws of Saskatchewan, Canada, with its principal place of business at 1223 Hamilton Street, Suite 415, Regina, SK S4R 4B3.

By accessing or using the MindFlux website at mindflux.life, enrolling in any program (MFX-101 through MFX-601), engaging our professional services, or otherwise interacting with MindFlux, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.

2. Description of Services

MindFlux provides cognitive AI collaboration training, advisory services, and related educational programs designed to help teams adopt structured human–AI teaming practices. Our services include but are not limited to:

• Structured training programs (MFX-101 through MFX-601)
• Discovery workshops, integration sprints, and collaboration advisory
• In-person and remote facilitation at our Regina studio or client locations
• Educational content, frameworks, and documentation related to cognitive collaboration

MindFlux is a cognitive collaboration platform and training provider. We are not a marketing agency, software vendor, legal advisor, or financial consultant. Our services do not constitute professional advice in those domains.

3. AI Transparency and Limitations

MindFlux teaches responsible cognitive AI collaboration. In delivering our services, we may use cognitive AI tools to assist with research, documentation, and materials preparation. All client-facing deliverables, facilitation, coaching, and advisory are conducted by qualified human practitioners under human editorial review.

MindFlux does not use AI to make decisions on behalf of clients. Cognitive AI tools within our framework are designed to augment human reasoning — not replace human judgement, accountability, or decision-making authority. Participants in our programs retain full responsibility for decisions made in their professional contexts.

We make no guarantees regarding the accuracy, completeness, or suitability of outputs generated by third-party AI tools used during or after our programs. Users are responsible for verifying AI-generated content before relying on it in professional or operational contexts.

4. Website Use

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable federal, provincial, or local laws
• Attempt to gain unauthorized access to our systems, networks, or data
• Transmit malware, spam, or other harmful content
• Scrape, crawl, or harvest data from the website without written permission
• Impersonate MindFlux personnel or misrepresent your affiliation with MindFlux
• Interfere with the proper functioning of the website or services

We reserve the right to suspend or terminate access to our website for violations of these Terms without prior notice.

5. Program Enrolment and Services

5.1 Enrolment

Enrolment in MindFlux programs requires completion of a registration process and payment of applicable fees in Canadian dollars. Program fees are listed on our programs page and are subject to applicable taxes. A formal enrolment confirmation will be provided upon receipt of payment or signed agreement.

5.2 Cancellation and Refunds

Cancellation policies vary by program and will be specified in your enrolment confirmation. Generally:

• Cancellations more than 14 days before program start: Full refund minus a C$50 administration fee
• Cancellations 7–14 days before program start: 50% refund
• Cancellations less than 7 days before program start: No refund, but transfer to a future session may be arranged

MindFlux reserves the right to cancel or reschedule programs due to insufficient enrolment, facilitator unavailability, or force majeure events. In such cases, enrolled participants will receive a full refund or transfer to an alternative date.

5.3 Service Agreements

Bespoke services (Discovery Workshop, Integration Sprint, Collaboration Advisory) are governed by separate service agreements specifying scope, deliverables, timelines, and fees. In the event of conflict between these Terms and a signed service agreement, the service agreement prevails.

6. Intellectual Property

All content on the MindFlux website and all program materials — including the five cognitive channels framework, teaming method, curricula, presentations, documentation templates, and branding — are the intellectual property of MindFlux Life Inc. and are protected by Canadian and international copyright laws.

Enrolled participants receive a limited, non-transferable licence to use program materials for internal organizational purposes only. You may not reproduce, distribute, sublicense, or create derivative works from MindFlux materials without prior written consent.

Feedback, suggestions, or ideas you provide to MindFlux may be used by us without obligation or compensation to you.

7. Confidentiality

During programs and service engagements, participants may share confidential business information. MindFlux agrees to treat client information as confidential and not disclose it to third parties except as required to deliver services, with your consent, or as required by law. Participants are similarly expected to respect the confidentiality of other participants and of MindFlux proprietary methodologies shared during sessions.

8. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

MindFlux does not warrant that our programs will achieve specific business outcomes, that cognitive AI tools will perform without error, or that our website will be uninterrupted or error-free. Results depend on participant engagement, organizational context, and factors beyond our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, MindFlux Life Inc., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to MindFlux for the specific program or service giving rise to the claim during the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MindFlux Life Inc. and its personnel from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of our services or materials, or your violation of any third-party rights.

11. Governing Law and Disputes

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Saskatchewan.

Before initiating formal legal proceedings, parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms on this page with a revised "Last updated" date. Material changes affecting enrolled participants will be communicated directly. Continued use of our website or services after changes constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
